Terms of Service

These Terms of Service ("Terms") govern your use of the Keystone platform and related services provided by Epoch Management & Consulting ("we," "us," or "Keystone"). By accessing or using Keystone, you agree to be bound by these Terms.
Description of Service
Keystone is a cloud-based operations platform designed for mortgage brokerages. The platform provides tools for managing loans, commissions, employee data, accounting, and third-party integrations to streamline brokerage operations.
Account Registration
To use Keystone, you must create an account with accurate and complete information. Each login is intended for use by a single person — sharing credentials is not permitted. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Acceptable Use
You agree not to:
- Use Keystone for any unlawful purpose or in violation of any applicable laws or regulations
- Reverse engineer, decompile, or disassemble any part of the platform
- Scrape, crawl, or use automated tools to extract data from Keystone
- Interfere with or disrupt the platform's infrastructure, security, or other users' access
- Attempt to gain unauthorized access to any systems or data
Your Data
You retain full ownership of all brokerage data you enter into Keystone, including loan records, commission plans, employee information, and accounting data. By using the platform, you grant us a limited license to process, store, and display your data solely to provide and improve the service. We will not use your data for any purpose beyond delivering the Keystone platform to you.
Intellectual Property
Keystone and its original content, features, functionality, branding, and trademarks are and will remain the exclusive property of Epoch Management & Consulting. The platform is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use our brand name, logos, or trademarks without prior written consent.
Payment Terms
Keystone is offered on a subscription basis. By selecting a plan, you agree to pay the applicable fees as described on our Pricing page. Subscriptions are billed on a recurring basis according to the billing cycle you choose.
Usage that exceeds your plan's included limits may incur overage charges as outlined in your plan details. We will make reasonable efforts to notify you before overage charges apply.
Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us and we will work with you to find a fair resolution.
Third-Party Integrations
Keystone integrates with third-party services such as QuickBooks, Fannie Mae Desktop Underwriter (DU), Freddie Mac Loan Product Advisor (LPA), iSoftpull, Twilio, and Resend. When you enable an integration, you are responsible for reviewing and agreeing to that provider's terms of service and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services.
Service Availability
We strive to maintain high availability and will make commercially reasonable efforts to keep Keystone operational. However, we do not guarantee 100% uptime. The platform may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will provide advance notice of planned maintenance whenever possible.
Limitation of Liability
To the maximum extent permitted by law, Keystone and Epoch Management & Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the platform. Our total liability for any claim related to the service shall not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Epoch Management & Consulting, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of Keystone, your violation of these Terms, or your violation of any third-party rights.
Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms or engage in conduct that is harmful to the platform or other users.
Upon termination, you will have 30 days to export your data. After this period, we may delete your data in accordance with our Privacy Policy.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Puerto Rico.
Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through an in-app notification at least 30 days before the changes take effect. Your continued use of Keystone after the updated Terms take effect constitutes your acceptance of the changes.
